- Grant necessary access credentials (e.g., website admin backend, Google Analytics, social media managers, ad accounts) required for us to fulfill our contractual obligations.
- Review and approve copy, creative designs, and campaign setups within agreed timelines. We are not responsible for project delays resulting from a client’s failure to provide approvals or assets.
3. Fees, Payments, and Billing
- Pricing: Prices for our standard consultation packages or digital items are listed on the Site or detailed via custom quotes.
- Invoicing & Payment: Payment terms (e.g., upfront deposits, monthly retainers, or net-15 billing) are strictly specified in your custom Service Agreement.
- Late Payments: We reserve the right to pause all active marketing campaigns, web development, or strategy distribution if invoices remain unpaid past their due date.
- Refund Policy: Due to the customized nature of digital marketing execution and time-intensive labor, all fees paid for strategic blueprints, audits, or completed marketing execution hours are non-refundable unless explicitly stated otherwise in writing.
4. Intellectual Property
Our Property
The Site and its original content, features, marketing resources, blogs, graphics, and design layouts are the exclusive property of Negi Digi Hub and are protected by copyright and trademark laws. You may not reproduce or distribute our content without explicit permission.
Client Deliverables
Upon full and final payment of all outstanding invoices, ownership of final creative materials, website copy, graphics, or custom campaign assets generated specifically for your business will transfer to you. Negi Digi Hub retains the right to showcase anonymized data, case studies, or design samples in our agency portfolio to market our services.
5. Third-Party Links & Platforms
Our website and services heavily interact with third-party networks (such as Google, Meta/Facebook, LinkedIn, hosting platforms, and Elementor plugin developers).
- We do not control, and assume no responsibility for, the content, privacy policies, or stability of any third-party websites or tools.
- You acknowledge that platform algorithm updates, policy restrictions, or sudden structural ad account bans by external entities (like Google Ads or Meta Business Manager) are out of our control and do not constitute a breach of this contract.
6. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Negi Digi Hub, its founder, or its team be liable for any indirect, incidental, special, consequential, or punitive damages—including without limitation, loss of profits, data usage, business disruption, or drop in organic search rankings—resulting from your use or inability to use our website or digital services.
Our total liability for any claim arising out of or relating to our marketing services shall not exceed the total amount paid by you to Negi Digi Hub during the three (3) month period preceding the event giving rise to liability.
7. Termination
We may terminate or suspend access to our Site or services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
